2. Services Description

CostLayer provides enterprise architecture advisory and cost optimization strategies that leverage automation and AI where appropriate. Our services include:

  • Architecture review consultations
  • Cost optimization analysis and recommendations
  • Operational expense reduction strategies
  • System efficiency assessments

All services are advisory in nature and do not involve direct implementation, integration, or modification of your systems unless explicitly agreed upon in a separate service agreement.

3. Service Guarantee

CostLayer offers a 30-day money-back guarantee for our architecture review services. If you do not receive a clear, actionable cost-reduction plan within 30 days of engagement, you are entitled to a full refund. This guarantee applies only to the initial architecture review service and does not extend to subsequent advisory services or implementations.

4. No Downtime Guarantee

Our advisory services are designed to analyze your systems without touching them. We guarantee that our consultation and analysis services will not cause any downtime to your production systems. However, any implementation of our recommendations is your responsibility and undertaken at your own risk.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your systems and operations
  • Grant necessary access for analysis purposes (read-only access where possible)
  • Participate actively in consultation sessions
  • Review and approve recommendations before implementation
  • Implement recommendations at your own discretion and risk

6. Intellectual Property

All reports, recommendations, analyses, and materials provided by CostLayer remain the intellectual property of CostLayer. You are granted a non-exclusive, non-transferable license to use these materials solely for your internal business purposes. You may not distribute, share, or resell our proprietary materials without explicit written consent.

7. Confidentiality

CostLayer will maintain strict confidentiality regarding your business information, systems architecture, and operational data. We will not disclose your information to third parties without your consent, except as required by law. You agree to maintain confidentiality of our proprietary methodologies and recommendations.

8. Limitation of Liability

CostLayer provides advisory services only. We are not responsible for:

  • Any implementation of our recommendations
  • Downtime or issues resulting from implementation of recommendations
  • Financial losses resulting from business decisions made based on our advice
  • Third-party service disruptions or failures

Our total liability shall not exceed the amount paid for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

9. Payment Terms

Payment terms will be specified in your service agreement. Generally, payment is due upon completion of the architecture review and delivery of the cost-reduction plan. We accept payment via the methods specified in your agreement. Refunds are subject to our 30-day guarantee policy.

10. Cancellation and Refunds

You may cancel your engagement at any time. If cancellation occurs before the architecture review is completed, you may be entitled to a partial refund based on work completed. Refunds are processed within 30 days of cancellation request. Our 30-day money-back guarantee applies as specified in Section 3.

11. No Long-Term Contracts

CostLayer operates on a project-by-project basis. There are no long-term contracts or recurring commitments unless explicitly agreed upon in writing. You are free to engage our services on an as-needed basis.

12. Modifications to Terms

CostLayer reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which CostLayer operates, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.
